Legal and Tax Adviser for QSBS, Stock Options, and Equity Structuring Project Description: We are seeking an experienced attorney, tax professional, or advisory team with strong expertise in Qualified Small Business Stock under IRC Section 1202, equity compensation, and closely held business structuring. The engagement will cover three areas: 1. NSO Early Exercise and 83(b) Election Advise us on the early exercise of nonqualified stock options, help confirm that the exercise is completed correctly, and guide us through preparing and timely filing the 83(b) election and related documentation. 2. Client Equity Held by a Consulting Firm or Its Partners Advise a consulting and advisory firm on how to receive, hold, document, and ultimately share the proceeds of client stock and options among partners when the equity is legally held in one partner’s name. Some holdings may qualify as QSBS and others may not. We want to understand the legal, tax, ownership, compensation, and documentation implications and identify practical structures for future grants. 3. Formation and Planning of Our Own QSBS Companies Help us evaluate, structure, and implement new businesses intended to qualify for QSBS treatment, including entity formation, capitalization, ownership, eligible activities, documentation, and ongoing compliance. We would begin immediately with a one- to two-hour phone or video consultation focused primarily on the first two areas. The initial consultation could lead to additional work, potentially including legal research, tax analysis, entity structuring, and drafting agreements or other legal documents.
