US-Licensed IP/Contracts Attorney

Small web development firm resolving a client payment matter this week. We've drafted a one-page Confirmatory IP Assignment (present-tense assignment conditioned on receipt of cleared funds, with carve-outs for our pre-existing technology and a license back to the client) and need a US-licensed attorney to review it before we sign, along with two one-page supporting documents (a contractor work-product confirmation and an intercompany assignment) and the underlying ~9-page development agreement. Fixed scope: a 30–45 minute video call answering four specific questions — a briefing sheet with the questions and all documents is provided in advance, so the call is efficient. Brief written notes on the answers appreciated but optional.
