Non-Profit Attorney for Confidentiality Agreement

Embrace Abilities (MS 501(c)(3) serving children/young adults with disabilities and their families) seeks an attorney to review and tighten a Board Confidentiality Agreement. The ideal candidate will have experience in non-profit law and be able to ensure the agreement aligns with legal standards. This is a part-time project expected to last less than a month. Confidentiality of all internal board communications across channels (email, Slack/text threads, meetings), including drafts, disagreements, votes, and deliberations Strict privacy protections for families and minors, including medical/disability-related information, accommodations, incident details, and any identifying information shared through our programs No screenshots / forwarding / reposting of internal messages, documents, or discussions outside authorized channels Media + social media policy: only the Executive Director, Board Chair, or a board-authorized designee may speak publicly on behalf of the organization; guidance for personal statements that must not imply representation or disclose internal matters Reasonable legal carve-outs (e.g., reporting suspected abuse/neglect, fraud/theft, harassment/discrimination, legal compliance/whistleblower protections) Clear remedies and enforcement language appropriate for a nonprofit board context (e.g., removal of access, board discipline/removal consistent with bylaws), without overreaching
