We are looking for an experienced business attorney to help us draft a partnership/admission agreement to bring a new partner into our existing company. We currently operate an architectural metals/construction business and are considering adding a partner who would contribute operational, technical, and/or business development value. We need the agreement to clearly define ownership, responsibilities, compensation, profit distributions, decision-making authority, vesting, exit rights, and what happens if the partner leaves or does not meet expectations. The agreement should cover: * Ownership percentage and whether equity is immediate or vested over time * Capital contributions, if any * Roles, duties, and expectations of the new partner * Salary, draws, profit distributions, and tax treatment * Voting rights and decision-making authority * Buyout terms, valuation method, and exit process * Non-solicitation, confidentiality, and IP ownership * Deadlock/dispute resolution * Protection of the company and existing owners We want a practical, well-structured agreement that protects the business while giving the new partner a fair path to ownership.
