Title: Senior BD Consultant | IVD M&A & ODM Partnerships (Multiplex Antigen) Project Overview We are an established, ISO 13485 and KGMP-certified in-vitro diagnostics (IVD) manufacturer. We have developed a breakthrough point-of-care respiratory antigen test that successfully detects COVID-19, Influenza A, Influenza B, and RSV concurrently on a single cassette. This capability completely surpasses current market leaders (such as BD Veritor Plus and Quidel Sofia 2), which are limited to 3-plex and require separate cassettes for RSV. Our go-to-market strategy is strictly B2B. Rather than building a direct-to-clinic sales force, we are exclusively seeking a high-value ODM, exclusive licensing, or M&A agreement with a Tier-1 global diagnostics firm. We want to leverage a major buyer's existing US distribution, installed reader base, and FDA regulatory machine. Ideal Candidate Profile We need a seasoned deal-maker who has navigated these exact waters before. The ideal consultant or executive must have: - Proven Deal Experience: Direct leadership or senior involvement in at least ONE of the following: an OEM/ODM lateral flow partnership with a top-10 global diagnostic company (e.g., Danaher, Roche, Abbott, QuidelOrtho, bioMérieux), a high-value exclusive technology licensing agreement, or an M&A exit ($50M+) for a rapid antigen company. - Deep Domain Knowledge: A thorough understanding of FIA / lateral flow multiplex technologies and the competitive landscape. - Deal Economics Mastery: Expertise in structuring diagnostics OEM agreements, including royalty rates, minimum volume commitments, and upfront fees. - Strategic Insight: An understanding of the "buy vs. build" criteria used by Tier-1 buyers, along with baseline knowledge of CLIA Waiver and FDA 510(k) pathways (we have dedicated regulatory counsel, but you must know the landscape). - Geographic Advantage: Experience evaluating or positioning Korean/Asian IVD manufacturers for US/Global partnerships is a massive plus. Engagement Milestones We anticipate structuring this engagement around clear deliverables across three main phases: Milestone 1: Strategic Audit & Targeting (Weeks 1–4) Conduct a blunt, honest assessment of our pitch deck, clinical data, and IP. Identify critical gaps we must close prior to buyer outreach. Formulate realistic valuation models and deliver a prioritized target list of named BD executives. Milestone 2: Warm Outreach & Positioning (Months 2–4) Leverage your existing network to secure introductory meetings with Tier-1 BD targets. Tailor our narrative to match specific buyer priorities, coach our executive team for initial meetings, and guide the preparation of our data room. Milestone 3: Negotiation & Structuring (Months 4–6+) Partner with our legal and IP teams to navigate term sheets. Provide strategic advice on exclusivity and deal structures, and ideally manage a competitive multi-bidder process. What We Provide You will have direct, unfettered access to our founders and executive suite. Under a mutual NDA, we will grant full access to our data room, including financials, manufacturing specs, IP, clinicals, an existing competitive analysis, and our FDA roadmap.
