Senior Securities Attorney – EB-5 Private Placement Offering (PPM Review)

We are seeking an experienced U.S. securities attorney with substantial EB-5 experience to review and advise on an existing EB-5 offering structure and related securities documents. The ideal candidate has direct experience preparing and reviewing Private Placement Memorandums (PPMs), Subscription Agreements, Operating Agreements, Regulation D offerings, and EB-5 investment structures. Responsibilities: • Review an existing EB-5 Private Placement Memorandum (PPM) • Review the Subscription Agreement and Operating Agreement • Identify securities law issues, risks, inconsistencies, and disclosure concerns • Provide recommendations and revisions as needed • Advise on compliance with applicable U.S. securities regulations • Coordinate with the project team regarding offering structure and disclosures Required Qualifications: • Licensed U.S. attorney in good standing • Significant securities law experience • Direct experience with EB-5 offerings • Experience drafting and reviewing PPMs • Familiarity with Regulation D private placements • Experience with fund offerings, real estate offerings, or investment funds Preferred Experience: • Representation of Regional Centers, NCEs, or EB-5 issuers • Review of investor offering documents for immigration-related investments • Experience coordinating with immigration counsel and EB-5 economists Project Documents for Review: • Private Placement Memorandum (PPM) • Subscription Agreement • Operating Agreement • Related offering and disclosure documents When Applying, Please Include: Number of years practicing securities law Description of your EB-5 experience Number of EB-5 PPMs drafted or reviewed Relevant Regulation D/private placement experience Your hourly rate or fixed-fee estimate for reviewing an existing EB-5 offering package We are looking for a seasoned securities attorney with real-world EB-5 offering experience, not a general business attorney.
