Spain-Qualified Lawyer — Review of Distribution & Trademark License Agreements

SMB Legal Counsel, a U.S. law firm, seeks a lawyer qualified to practice in Spain for a LIMITED-SCOPE review of two related agreements for a client entering the Spanish market: (1) an exclusive distribution agreement with a Spanish distributor, and (2) a trademark license / license-and-supply agreement. This is NOT a full contract review. We need you to confirm whether the specific provisions below are enforceable under Spanish/EU law and to flag any choice-of-law / governing-law issues. We are not seeking a U.S.-law analysis. Both agreements are drafted in English under our firm's templates. PROVISIONS TO CONFIRM AS ENFORCEABLE - Vertical/competition issues: compatibility with the EU Vertical Block Exemption Regulation and Spanish competition law (exclusivity, territory/customer restrictions, resale pricing, non-compete duration). - Distributor indemnity (goodwill/clientela): exposure under Spanish case law applying agency-style termination indemnity to distributors, and how to limit it. - Termination and notice: minimum notice, just-cause standards, and stock buy-back on termination. - Trademark licensing: recordal/registration requirements, quality-control provisions, and what is needed for the license to be enforceable and to protect the marks in Spain/EU. - CHOICE OF LAW / GOVERNING LAW (priority): whether our chosen governing law and forum/arbitration clause will be respected by a Spanish court; which provisions a Spanish court would apply regardless of the choice (mandatory/overriding rules); and whether a Spanish-language version is needed. - Any mandatory local terms that override the contract's chosen law. DELIVERABLES - Targeted comments/redlines on the specific provisions reviewed (not a full markup), and - A short written note (1-3 pages) covering enforceability of those provisions and the choice-of-law analysis. REQUIREMENTS - Qualified and currently admitted to practice law in Spain (please state your bar/colegio). - Demonstrable experience with cross-border distribution and IP/trademark licensing. - Fluent written English. WHEN YOU APPLY, PLEASE ANSWER 1. In which jurisdiction are you admitted to practice, and what is your bar/registration number? 2. Briefly describe two or three distribution agreements and/or trademark licenses you have reviewed or drafted under Spanish law. 3. Are you comfortable advising on the competition and consumer-protection aspects of an exclusive distribution arrangement? Please give a recent example. 4. Your proposed fee structure (hourly or fixed) and estimated turnaround for both agreements. 5. Confirm you can sign an NDA before receiving documents and have no conflict acting adverse to a counterparty in Spain.
