US Startup Attorney — Review & Sign-Off: Delaware C-Corp

About the role We're an early-stage company, recently incorporated as a Delaware C-Corporation (via Clerky). Our founder group includes non-US persons, so cross-border considerations matter. Our formation and post-incorporation paperwork is already substantially prepared (Clerky + internal drafts). We are not looking to draft from scratch. We need an experienced US corporate/startup attorney to review, redline, confirm procedural correctness, and sign off — and to flag risks. Scope (review & advise): Cap table — founder equity (restricted stock with vesting/repurchase), an equity reserve, and an additional equity issuance; confirm it's clean and properly documented. Procedural compliance of the corporate setup — Action of Incorporator, Board Consent, Bylaws, and prior-acts ratification (a few items were completed before the Board Consent was signed). Confirm sequencing and validity. Founder equity & 83(b) — restricted stock purchase agreements and the 83(b) approach for founders without a US tax ID. Equity issuance documents — review our drafts, including transfer restrictions and applicable private-placement / securities-law points. Related-party governance — a conflict-of-interest (§144) policy and a delegation-of-authority policy. Cross-border tax compliance coordination — confirm relevant federal filings and withholding-form handling (CPA coordination welcome). Ideal candidate: US corporate/startup attorney with strong Delaware C-Corp experience. Experience with non-US founders / cross-border structures. Comfortable with securities law (private-placement exemptions, restrictive legends). Practical, responsive, founder-friendly. How we work: Documents are already drafted — we need expert review, redline, and sign-off (efficient, not from scratch). NDA before we share any company-specific documents or details. Hourly or fixed-fee per deliverable. We'd start with a short intro call + an initial review.
