Startup Corporate Counsel — Equity, Cap Table & M&A

We are seeking experienced startup counsel to advise us on a range of equity, cap table, and corporate transactions as the company enters a more complex stage of growth. This is not just a one-off legal project. We are looking for counsel who can help us think strategically about the cap table and guide us through several interconnected transactions over the coming months. The scope will include: * Advise on overall cap table and equity strategy * Structure and execute repurchases of existing shareholder/founder equity * Advise on founder equity restructurings, reissuances, and related documentation * Counsel us through a potential merger or acquisition, including transaction structure, diligence, approvals, and closing * Evaluate the impact of proposed transactions on ownership, dilution, voting control, and existing investors * Review historical equity issuances and corporate actions where necessary * Prepare or review board and stockholder consents and other corporate approvals * Advise on Delaware corporate law, securities considerations, and general startup governance * Help us establish a clean and defensible cap table structure going forward We are looking for someone who is highly comfortable with venture-backed Delaware C-Corporations and can combine strong legal execution with practical strategic advice. Experience with founder restructurings, secondary transactions/share repurchases, venture financings, and startup M&A is strongly preferred.
