Seeking a Texas Secured Lending Attorney or Attorney-Supervised Paralegal to draft and review business loan documents. Responsibilities include ensuring compliance with Texas law, preparing loan agreements, and conducting legal research. The ideal candidate will have experience in secured lending and be able to work independently. I need help preparing a secured business loan document package for a private loan from my LLC to another land flipping business. This is a business-to-business loan. The loan will be secured by contract-for-deed raw land notes / seller-financed land contracts owned by the borrower. I am looking for either: A Texas business / secured lending attorney, or An experienced paralegal working under attorney supervision. I am not looking for unsupervised legal advice from a non-attorney. Project Overview: Borrower: Business entity Governing Law: Texas Payment Structure: Year 1 interest-only, Year 2 principal and interest Collateral: Contract-for-deed raw land notes / seller-financed land contracts Collateral Value: 50% of current unpaid principal balance Extension: Lender-approved 12-month interest-only extension with extension fee Documents Needed: Promissory note Security agreement UCC-1 financing statement support Collateral schedule Assignment of contract-for-deed / seller rights upon default ACH authorization language Default and cure provisions Collateral replacement provisions Borrower certifications / representations Closing checklist Any recommended supporting documents Important Issues to Review: Texas secured lending requirements UCC Article 9 security interest and perfection Whether a UCC-1 filing is sufficient or whether possession/control/assignment language is also needed Texas usury review for interest, late fee, and extension fee Assignment of contract-for-deed seller rights after default Collateral tied to raw land notes, primarily Nevada but possibly other states Proper handling of borrower-serviced pledged notes Default notice, 30-day cure period, and remedies after uncured default Ideal Experience: Texas commercial lending Secured transactions UCC-1 filings Promissory notes and security agreements Seller financing Contract-for-deed / land contract transactions Private lending or note collateral Real estate-backed receivables Deliverable: A clean draft loan package suitable for review, discussion, and final execution after all parties are confirmed.
