UAE ADGM / DIFC SPV Template Pack for Single Property Co-Ownership

We are looking for a UAE corporate / commercial lawyer or legal consultant with experience in ADGM and/or DIFC company structures to help prepare a simple, repeatable template pack for a single-property SPV co-ownership model. This is not a complex fund structure or bespoke investment scheme. The structure is straightforward. One SPV will hold one property in one project. Ownership will be divided into four equal 25% interests. One investor can hold 25%, 50%, 75% or 100%. The documents need to allow for future transfer or resale of those ownership interests, subject to normal approvals, KYC/AML, developer requirements and applicable transfer rules. The properties are fully managed hotel assets. Income is paid under a leaseback agreement from the developer / hotel operator. The SPV documents do not need to recreate the hotel operating model or income calculation. They simply need to refer to the relevant leaseback agreement and deal with ownership, governance, transfers, income distribution once received, disputes, default and exit. The template will be used across only two projects with the same developer in the same region. Each SPV will relate to one property only, and each agreement will simply be updated with the relevant parties, ownership percentages and property details. We already have a detailed brief prepared and can share it via link with suitable applicants. The work is mainly to adapt existing ADGM / DIFC company, shareholder and transfer frameworks into a clean template pack written in plain English. We are not looking for overly complex drafting. We want something practical, clear and repeatable. Required deliverables may include: * SPV setup checklist * Shareholders or co-ownership agreement template * Ownership register template * Transfer / resale provisions * Right of first refusal wording * Simple governance and decision-making rules * Leaseback income reference clauses * Default and dispute provisions * Death / incapacity / permitted transfer wording * Plain-English client summary * Transaction checklist Ideal candidate: * Experience with ADGM and/or DIFC company structures * Familiarity with UAE real estate holding structures * Able to work from templates and existing frameworks * Strong plain-English drafting skills * Practical and commercial, not overly academic * Comfortable creating documents that can be reused with updated parties and property details Please include: 1.
