UAE Lawyer Required – Design Legal Structure for International Co-Ownership Platform Overview We are developing a premium international real estate co-ownership platform for Australian investors and require an experienced UAE commercial/property lawyer to assist with the initial legal structure. This is an advisory project only. We are **not** looking for document drafting at this stage. The objective is to determine the most appropriate UAE legal structure for four unrelated Australian investors to jointly acquire one premium commercial operational real estate asset located in the UAE. Example assets include branded residences associated with integrated resort developments such as Wynn Al Marjan Island. Background Our commercial concept is straightforward. Rather than requiring one investor to purchase an entire property valued at approximately AUD $1.2 million, four investors would each acquire a 25% ownership interest through an appropriate UAE legal structure. The ownership vehicle would acquire legal title to one specific property. Each investor would receive: • 25% ownership • 25% of income • 25% of capital appreciation • 25% of sale proceeds The structure should also allow owners to sell their ownership interest without necessarily forcing the sale of the underlying property. --- Advice Required We are seeking preliminary advice regarding: * The most appropriate UAE ownership structure. * Whether a UAE SPV, holding company, foundation or another structure is preferable. * Foreign ownership considerations. * Governance structure. * Shareholder rights. * Exit mechanisms. * Transfer of ownership interests. * Tax considerations. * Ongoing compliance. * Estimated establishment costs. * Annual maintenance costs. * Risks or issues that should be considered before proceeding. Deliverables We are looking for a written opinion (approximately 5–10 pages) covering: * Recommended legal structure. * Advantages and disadvantages. * Governance recommendations. * Shareholder agreement recommendations. * Tax considerations (high level). * Regulatory considerations. * Suggested implementation roadmap. --- Experience Required Please only apply if you have experience with: * UAE Commercial Law * UAE Property Law * Cross-border ownership structures * DIFC / ADGM (preferred) * Corporate structuring * Shareholder agreements * Foreign investors purchasing UAE real estate Please include examples of similar work if possible. Future Opportunity This project is intended as the first phase of a much larger engagement. Following completion, we expect to appoint a specialist firm to prepare all legal documentation for a commercial launch.
