Summary

Hello, I am the founder of a U.S.-based technology company (ZuguTech) and need an experienced U.S.-licensed technology transactions attorney to assist with final negotiations on a strategic partnership agreement. Timing is urgent. I need someone who can review documents and ideally join a negotiation call within the next 24 hours. Background ZuguTech is building a strategic partnership with a Pakistan-based software engineering company (RTC). The intended business model is: * ZuguTech acquires customers, manages commercial relationships, contracting, financing, and business development. * RTC provides engineering, software development, QA, implementation, and technical delivery. The parties have largely aligned on the commercial percentages: * Commencement: 80% Zugu / 20% RTC * Month 9: 70% Zugu / 30% RTC * Month 18: 60% Zugu / 40% RTC * Month 30: 50% Zugu / 50% RTC The remaining issue is how those percentages are applied. RTC proposes recovering its “fully burdened delivery costs” before applying the agreed commercial percentages. Those costs include items such as: * Engineer salaries * QA * Program management * Bench capacity * Allocated overhead Our concern is not that RTC should be unable to recover legitimate delivery costs. Our concern is ensuring that: * recoverable costs are commercially appropriate, * overhead allocations are reasonable, * the agreement reflects the commercial deal both parties intended, * cost calculations are transparent and auditable, * the agreed percentages produce the intended economic outcome. We are looking for an attorney who can evaluate whether this commercial structure reflects common market practice and help us negotiate language that fairly protects both parties.
