US based portfolio/PE firm/CFO

READ full job post. Role is STRICTLY for US based CFO's (not NON US based CFOs, or CPAs, or controllers, or accountants). Private Equity firm seeking designated or retired CFOs. Candidate must have: 20+ years experience in Private equity fund, portfolio companies, senior C-level financial management of mid to large, private or public companies Thorough skills in investor, lender, shareholders presentations, relationship management, returns management, negotiations, capital raise Thorough with preparing, reviewing, financial models, proformas Advanced relationships with financial partners (banks, non-banks, equity, debt, mezzanine) Have held board positions in the past or present Experience working with emerging, startup entities (with sweat equity, base, bonus, option shares - various models) Expert in mergers and acquisitions as a "PRINCIPAL" have managed and completed over $50mm transaction sizes, at least 5-20, in last 20 years Have direct P&L accountability of $100mm or more Willing to travel to job sites, at office, and remote performances when required Have completed, led due diligences on M&A targets Prefer a CFA and or CPA, as an asset Have complete understanding of GAAP, IFRS, IRS, percentage of completion Preferably in construction and related industry, while other industries are considered but NOT tech, SAAS, IT, marketing, consumer products, automobile Apply with clear 1-2 pages Resume explaining deals you have, portfolio companies you have managed, financial goals you have met, and PE/funds you have worked for Typical Emerging PE fund role and compensation structure M&A negotiations (sell-side, brokers, investors, lenders, insurance, banks) Buyside due diligence certification (we have team that does dd, but you need to certify, approve) Post-close of target acquisition, manage P&L and achieve quarterly KPI expectations of IRR, MOIC, Debt Service and all other covenants, metrics Base pay is nominal monthly token fee $250, as this is a deal specific role (not an hourly, or executive role) Significant Stock Option provided as normal for a CFO in a Private Equity firm Significant deal bonus $1,000 - $20,000 for every successfully completed transaction Every portfolio company, under your management and direct P&L accountability, will have additional performance based annual bonus Upon hitting $10mm EBITDA the base pay will be renegotiated up to $12,000 per month Add in your cover letter how familiar you are with above role and compensation structure
