US start up attorney

Looking for a US based startup attorney (Delaware corporate law experience required) to help formalize the legal structure for a pre-revenue medical device startup ahead of an angel raise. Current situation: - Company is developing an FDA 510(k) OTC medical device (mandibular advancement device for snoring) - Currently need guidance on whether to convert an existing LLC or form a new Delaware C-corp; leaning toward Delaware C-corp given we're raising on a YC style SAFE and want standard investor terms - Have a draft investor side letter and are using the YC Post-Money SAFE (Valuation Cap Only, No Discount) with a cap in the $3 to 4M range; need this reviewed and finalized for legal accuracy - Need Form D filing and accredited investor verification guidance once the raise is underway - May also need cap table setup guidance and basic corporate governance documents (bylaws, board resolutions, stock purchase agreements) Scope of work: - Advise on optimal entity structure and conversion path (LLC to C-corp vs new Delaware C-corp formation) - Handle or review Delaware incorporation, EIN, registered agent setup - Review and finalize SAFE and investor side letter language - Advise on Form D and securities compliance for the raise - Ongoing availability for follow-up questions as we close the round Ideal candidate: - Licensed US attorney with startup/venture formation experience - Familiar with YC SAFE documents and standard early stage financing terms - Comfortable working with a solo founder moving quickly across multiple workstreams Please share relevant experience with startup formations and SAFE rounds, and your estimated fee structure (flat fee vs hourly).
