Summary

I am an independent growth consultant and investor acquiring and operating "boring businesses" (vending, laundromats, self-storage, car washes) while providing growth consulting to the home services sector. I am seeking a long-term legal partner to act as my "fractional general counsel" for deal structuring and ongoing partnership protection. Scope of Work: Acquisition & Financing (Buy-Side): I am aggressively acquiring assets via owner-financed deals. You will assist in structuring Asset Purchase Agreements (APAs), Promissory Notes, Security Agreements, and UCC filings to ensure I have full operational control and clear recourse in the event of default. Equity Consulting (Audit & Review): I provide growth consulting in the home services sector in exchange for equity. I already have a vetted template for these agreements. You will perform final legal audits on these drafts for one-off deals to ensure my equity position is locked, protected, and legally distinct from the service-level terms. Operational Security: Advise on risk mitigation for holding these assets long-term. You will ensure my acquisition vehicle (which includes trust and multi-entity structures) is properly aligned to protect the business assets. Requirements & Process: Specialization: Must have a proven track record in lower-middle-market M&A, specifically representing buyers in seller-financed transactions. The Workflow: I am looking for a partner, not a paper-pusher. Initial Call: We will begin with a consultation to review my current acquisition workflow and my existing equity-for-services template. You must be prepared to discuss these documents during the first meeting. Engagement: I prefer a fixed-fee per-project basis for all drafting and review tasks. Expertise: Deep knowledge of security interests, promissory notes, and the nuances of equity-for-services vesting and protection. In your proposal, please: Describe your experience with owner-financed deals for assets like laundromats or self-storage. Explain your approach to protecting a consultant's equity stake when entering a service agreement with a home services business. Confirm you are comfortable performing a "final legal audit" on my pre-existing templates.
