Contract Attorney Needed for SaaS / B2B Contract Negotiation & Risk Review

Summary

We’re looking for an experienced contract attorney or legal professional to help our business review, negotiate, and improve B2B contracts. The main need is contract negotiation and risk review. We want someone who can quickly identify business/legal risks, explain them clearly, and suggest practical redlines or negotiation positions. Typical work may include: Reviewing customer/vendor contracts, MSAs, SOWs, NDAs, partnership agreements, and service agreements Identifying key legal and business risks Drafting or redlining contract language Helping us negotiate terms with clients or vendors Creating short risk summaries for internal decision-making Advising on fallback positions and “must-have vs nice-to-have” terms Important qualities: Strong contract review and negotiation experience Clear, responsive communication Ability to explain legal issues in plain business language Practical judgment, not overly academic or theoretical advice Comfortable working with a fast-moving business team Reliable turnaround times and proactive updates Helpful experience: SaaS, B2B services, marketing, lead generation, data, partnerships, or vendor agreements U.S. commercial contract law Experience supporting startups or small/mid-sized businesses Familiarity with common risk areas: indemnity, limitation of liability, termination, payment terms, IP, confidentiality, data/privacy, warranties, and dispute resolution First project: We will start with one contract review/redline and a short written risk summary. If it goes well, this may become ongoing work. Please include in your proposal: Your experience with B2B contract negotiation and risk review Examples of the types of contracts you review most often Your usual turnaround time for a 10–20 page agreement How you communicate risk to business teams Your current availability and whether you have active ongoing projects Your hourly rate or fixed-fee preference for the first review We value responsiveness and clear communication, so please also mention how quickly you typically respond during active contract reviews.
