Legal Counsel to Establish In-House Equipment Financing Program

Summary

We sell business equipment through the United States (and Canada, but we’re thinking to focus this engagement in the United States). We are seeking to offer streamlined, quick-response, in-house seller-financing to grow sales, and we are requesting proposals to advise on and help implement this program. The customer pays the equipment's hard costs as a down payment. Only our profit margin is financed. Because we finance profit rather than cost, our risk exposure is materially lower, which we believe allows for simpler acceptance criteria and a faster approval decision than conventional equipment financing. We are seeking guidance on the following: 1. Legal feasibility. Whether and how we may lawfully offer this financing, at the federal and state level. 2. Licensing & compliance. What licenses, registrations, or compliance obligations we would need, and the associated costs. 3. Agreement drafting. A proposal to draft our financing agreements and related customer documentation. 4. Perfecting our security. Processes for filing UCC-1 financing statements and other protections once equipment is financed. 5. Servicing. Recommendations on third-party servicing platforms, or guidance on servicing in-house if we elect to do so. 6. Collections. Counsel on collections and enforcement should an account become delinquent. We are a new company established in 2026, so we do not have a large legal budget for this engagement. Please structure your proposal accordingly — for example, by phasing the work or focusing first on feasibility and licensing — and flag any items likely to drive cost. Please provide your relevant experience, a proposed approach and phasing, an estimated fee or fee range (and whether fixed-fee or capped arrangements are available), and an anticipated timeline.
