Business Attorney Needed to Review and Revise Consulting/Supplier Agreement

Job Description I am seeking an experienced U.S. business and commercial contracts attorney to review a supplier agreement between my consulting firm and a U.S.-based company. The engagement involves a time-limited marketing and customer-acquisition project with fixed compensation, approved campaign expenses, and performance-based compensation tied to attributed enrollments. I have already completed a detailed business review and prepared a proposed redline. I need an attorney to confirm that the agreement adequately protects my company, resolve inconsistencies, and produce a negotiation-ready final redline. Key Issues to Review Please focus on: * Conflicting performance-fee provisions * Definition and calculation of the recovery threshold * Attribution rules and attribution window * Reporting, verification, and audit rights * Payment protection if the client terminates for convenience * Treatment of approved third-party costs and non-cancellable commitments * Survival of payment and attribution rights after termination * Ownership of prospect data and campaign deliverables * Protection of pre-existing tools, systems, processes, templates, and know-how * Privacy, data-security, and commercial-email compliance * Allocation of responsibility for client-approved content and marketing claims * Mutual confidentiality * Indemnification and limitation of liability * Governing law, venue, and dispute resolution * Independent-contractor provisions * Scope limitations, client dependencies, and non-guaranteed performance targets * Drafting errors and internal inconsistencies Deliverables Please provide: 1. Review of the existing agreement and exhibit 2. Microsoft Word redline using tracked changes 3. Comments explaining material revisions where helpful 4. Clean execution version 5. Brief summary of the most important legal and negotiation issues 6. One consultation call of approximately 30–45 minutes Ideal Background * Licensed U.S. attorney in good standing * Significant experience with consulting, marketing, supplier, or professional-services agreements * Familiarity with performance-based compensation and lead-attribution provisions * Experience with digital marketing, data licensing, privacy, and outbound email compliance * Experience with Colorado-governed commercial agreements preferred * Comfortable representing the supplier or consultant side Timing I would like the initial review and redline completed within 2–3 business days of engagement.
