CPA Needed: Intangible Asset Valuation & IRC §351/§357(c) Corporate Conversion Analysis

Project Overview We are seeking an experienced U.S. CPA with expertise in startup taxation, corporate restructuring, and business valuations to assist with the final tax analysis required for the conversion of our Wyoming LLC into a Delaware C-Corporation as part of an upcoming venture capital financing. Our corporate attorney has completed the legal documentation. The remaining items required before closing are the CPA analyses outlined below. Scope of Work The selected CPA will be responsible for: Performing a Fair Market Value (FMV) appraisal of the company's intangible assets, including intellectual property, trademarks, brand value, customer relationships, proprietary business assets, and other applicable intangible assets. Determining which liabilities of the Wyoming LLC should transfer to the newly formed Delaware C-Corporation. Providing an IRC §357(c) analysis and sign-off regarding liabilities transferred in excess of basis, if applicable. Advising on the appropriate U.K. company tax classification/election as it relates to our international corporate structure. Preparing any supporting calculations or documentation necessary for our attorney to finalize the corporate closing documents. Coordinating, if necessary, with our corporate attorney to answer technical questions. Background Our attorney has advised that these CPA deliverables are the final items preventing execution of the closing documents. The results of this work will determine the final share allocations (Block A and Block B) within the corporate formation documents. Preferred Qualifications Licensed CPA in the United States Significant experience with: IRC §351 corporate formations IRC §357(c) Startup and venture-backed companies Delaware C-Corporation formations Intangible asset valuation Multi-entity and international tax structures Experience working with venture capital-backed startups is strongly preferred.
