Title: Build Pro Forma Cap Table for Series Seed Preferred Stock Financing (SAFE + Founder Participation) Description We are seeking an experienced venture capital attorney, startup finance professional, or cap table specialist to model a Series Seed Preferred Stock financing and prepare a fully diluted pro forma capitalization table. This is a relatively straightforward early-stage financing with one lead investor, founder participation, and a single outstanding SAFE. We would like the model to capture multiple scenarios and provide a clean spreadsheet suitable for use in transaction documents and board materials. Transaction Overview One lead investor purchasing Series Seed Preferred Stock. Two existing founders participating in the round with additional investments. One outstanding SAFE requiring conversion. Potential strategic investor expected to participate in a follow-on financing in approximately 3–4 months (no need to model the subsequent round, but the cap table should be structured so it can easily accommodate future investments). Employee option pool assumptions to be reflected, if applicable. Scope of Work Prepare a fully diluted capitalization model showing: Current Capitalization Founder common stock. Existing option pool and outstanding equity awards, if any. Outstanding SAFE. Series Seed Financing Issuance of Series Seed Preferred Stock to: Lead investor. Two founders making additional investments. SAFE Conversion Scenarios Model the SAFE under both: Standard conversion economics. Participating preferred economics with a 2x participation cap. Include calculations showing: Conversion price. Shares issued upon conversion. Ownership percentages. Investor economics under each scenario. Pro Forma Cap Tables Provide: Pre-financing capitalization. Post-financing capitalization. Fully diluted ownership percentages. Option pool calculations. Share counts by security type. Pre-money and post-money ownership. Deliverables A clean Excel or Google Sheets model with formulas intact, including: Pre-money cap table. Post-money cap table. SAFE conversion schedules. Side-by-side comparison of: SAFE without participating preferred. SAFE with participating preferred and a 2x cap. Summary schedule showing: Pre-money valuation. Amount raised. Post-money valuation. Ownership percentages by holder. Spreadsheet designed to be easily updated for a future strategic investment round. Preferred Experience Venture capital or startup law. Series Seed or NVCA financings. SAFE and convertible security modeling. Carta or cap table management experience. Prior work for startups, investors, or law firms.
