New Zealand-Qualified Lawyer — Review of Distribution & Trademark License Agreements

SMB Legal Counsel, a U.S. law firm, seeks a lawyer admitted to practice in New Zealand for a LIMITED-SCOPE review of two related agreements for a client entering the New Zealand market: (1) a distribution agreement with an NZ distributor, and (2) a trademark license agreement (TMLA). This is NOT a full contract review. We need you to confirm whether the specific provisions below are enforceable under New Zealand law and to flag any choice-of-law / governing-law issues. Both agreements are drafted in English under our firm's templates. PROVISIONS TO CONFIRM AS ENFORCEABLE - Competition law: compliance with the Commerce Act 1986 (anti-competitive arrangements; exclusivity and territory restrictions). - Fair trading / consumer law: Fair Trading Act 1986 and Consumer Guarantees Act considerations, and how they interact with warranty and liability clauses. - Trademark licensing: quality-control/authorized-use requirements and recordal considerations under NZ trade marks law. - Termination, notice, and post-termination obligations. - CHOICE OF LAW / GOVERNING LAW (priority): whether an NZ court will respect our chosen governing law and forum/arbitration clause, and which provisions apply regardless of that choice. - Any mandatory local terms that override the contract's chosen law. DELIVERABLES - Targeted comments/redlines on the specific provisions reviewed (not a full markup), and - A short written note (1-3 pages) covering enforceability of those provisions and the choice-of-law analysis. REQUIREMENTS - Admitted to practice law in New Zealand (please state your admission details). - Experience with distribution agreements and IP/trademark licensing. - Fluent written English.
