Scope Quality of earnings review — the reported figures include owner remuneration buried in cost of sales, so I need normalised maintainable earnings on an SDE/EBITDA basis, adjusted to a market-rate replacement cost. Business valuation — value of the business as a whole, then the value of a 50% holding. Normalised earnings multiple as the primary method, net asset value as a floor, DCF as a cross-check. Balance sheet verification at the valuation date, rather than accepting reported figures. Assessment of intangibles (software platform, IP, brand), client concentration, key-person dependency, and any related-party transactions.
