Securities Attorney for Real Estate Fund PPM

Description: We are launching a private real estate investment fund focused on manufactured housing communities and are seeking an experienced U.S. securities attorney to review and advise on our offering documents. The fund is being structured as a: Regulation D Rule 506(c) offering Potential Regulation S component for foreign investors 3(c)(1) and/or 3(c)(5) Investment Company Act exemption structure Our JV partner’s counsel prepared the initial draft documents, and we are looking for independent sponsor-side counsel to: Review the PPM and related offering structure Identify legal, compliance, and business risks Explain key provisions and implications in practical terms Flag any unusual or non-market terms Review sponsor protections, fee structures, waterfalls, conflicts, and investor rights Review securities law compliance considerations Provide comments/redlines and strategic recommendations The fund is focused on acquiring and operating manufactured housing communities in the United States. Documents Include: Private Placement Memorandum (PPM) Operating Agreement Subscription Agreement Investor suitability materials Ideal Candidate: Please apply only if you have substantial experience with: Reg D Rule 506(c) offerings Real estate private equity funds PPM drafting/review Investment Company Act exemptions (especially 3(c)(1) and/or 3(c)(5)) Sponsor-side fund formation Accredited investor offerings Real estate syndications and fund structures Bonus if you have experience with: Manufactured housing funds Reg S offerings / foreign investors ERISA considerations Multi-class waterfalls and preferred return structures Deliverables We are looking for: A written issue list / memo Redlined comments on the documents One or more strategy calls to walk through findings Recommendations on revisions or negotiation points Please include: Relevant fund/securities experience Examples of similar offerings reviewed Whether you primarily represent sponsors or investors Your jurisdiction(s) admitted Your hourly rate and estimated timeline
