Startup Counsel Needed — Incorporation, Founder Stock, and Labor Code 2870 Review

Looking for a California licensed startup attorney to form a Delaware C-Corp and register it as a foreign corporation in California. Scope includes the certificate of incorporation, bylaws, board consents, founder stock purchase agreements with four year vesting and a one year cliff, 83(b) filing guidance, IP assignment agreements from two founders and from an existing LLC, and an equity incentive plan with a reserved option pool. Separately I need a review of my current employment agreement for invention assignment exposure under Labor Code 2870, plus a short disclosure and waiver clause to include in a customer agreement. I would prefer a flat fee for the formation package and an hourly or capped fee for the employment review.
