Transaction Due Diligence Coordinator – Private Equity / Specialty Finance Platform (Remote) Rate: $75/hour I am seeking an experienced finance professional to work directly with me as the Transaction Due Diligence Coordinator on a live private equity transaction currently progressing toward closing. This is not a startup business plan or a one-off financial modeling assignment. It is an active institutional transaction involving an experienced management team with multiple successful exits, an established specialty lending business, institutional financing, sophisticated governance structures, and multiple transaction participants. The engagement is expected to run through the end of July 2026, with the potential for additional work thereafter. About the Transaction The transaction involves the acquisition of significant minority ownership interests in established, profitable specialty finance businesses as part of a long-term platform strategy. The management team has successfully built, operated, and exited multiple financial services businesses over the past two decades and is partnering with institutional capital to execute the next phase of growth. The initial investment involves an established specialty lender with a long operating history, a profitable track record, and hundreds of millions of dollars of cumulative loan originations. The broader transaction also includes: Institutional warehouse financing A strategic banking partner Preferred equity financing Multiple legal entities Complex governance and operating agreements Future acquisition opportunities Your Role You will work directly with me as the primary coordinator of the due diligence process. You will also work alongside: outside legal counsel my administrative coordinator the management team transaction attorneys other transaction participants Your responsibility will be to help organize, analyze, document, and coordinate every material aspect of the transaction so we have a complete and well-documented understanding of the investment before closing. Responsibilities The engagement will include assisting with: Review and organization of the virtual data room Financial analysis and transaction review Review of investment economics Documentation of governance and decision-making authority Review of operating agreements and organizational structure Analysis of capital structure Review of lender and credit facility documentation Review of preferred equity terms Documentation of relationships among the various transaction participants Tracking diligence requests and open items Preparing meeting agendas and follow-up materials Building and maintaining a comprehensive transaction checklist Assisting in preparation of a detailed Transaction & Governance Book that documents the transaction structure, economics, governance framework, financing arrangements, and key operating relationships Ideal Background The ideal candidate has experience in one or more of the following: Investment Banking Private Equity Corporate Finance Specialty Finance Commercial Lending Transaction Advisory Financial Due Diligence Mergers & Acquisitions Experience reviewing operating agreements, financing documents, capitalization structures, and transaction documentation is highly desirable. Strong organization, attention to detail, and the ability to manage complex workstreams are just as important as technical financial skills.
