Interstate Business Relocation and Compliance Consultant Position Summary We are seeking an experienced business relocation and compliance professional to manage the transfer or expansion of an existing Ohio LLC into Florida. The selected professional will review our current business structure, explain the available relocation options, coordinate all necessary legal, tax, licensing, registration, and administrative steps, and ensure the company remains active and compliant throughout the transition. Our goal is to have one primary person manage the project from beginning to completion while coordinating with qualified attorneys, accountants, registered agents, and government agencies as needed. Scope of Work The consultant will: * Review the company’s current Ohio LLC registration, ownership structure, tax status, licenses, contracts, and business operations. * Determine whether the best option is to: * Keep the Ohio LLC and register it as a foreign LLC in Florida. * Domesticate or convert the Ohio LLC into a Florida LLC. * Establish a new Florida LLC and close the Ohio LLC. * Maintain operations and business locations in both Ohio and Florida. * Explain the benefits, risks, costs, tax consequences, and ongoing filing requirements for each option. * Coordinate with a licensed business attorney and CPA when legal or tax advice is required. * Prepare or coordinate all Ohio and Florida business filings. * Obtain certificates of good standing, certified copies, and other required business records. * Establish or update the Florida registered agent and principal business address. * Update the company’s address and responsible-party information with the IRS. * Determine whether the existing EIN can remain in place or whether a new EIN is necessary. * Register or update state tax, payroll, unemployment, and employer accounts. * Review whether Ohio tax or business accounts should remain active or be closed. * Update business licenses, permits, insurance policies, banking information, vendor accounts, and payment processors. * Review healthcare-related compliance requirements that may be affected by the move. * Identify updates needed for provider contracts, payer records, credentialing records, BAAs, client contracts, employment documents, and contractor agreements. * Create a complete relocation checklist with assigned responsibilities and deadlines. * Track all filings, approvals, confirmations, account numbers, renewal dates, and supporting documents. * Provide copies of all completed filings and organize the final records in a shared electronic folder. * Confirm that the company is active and compliant in all applicable states at the conclusion of the project. Required Qualifications * Demonstrated experience relocating, converting, domesticating, or foreign-registering LLCs between states. * Strong knowledge of Florida and Ohio business registration processes. * Experience coordinating with state agencies, the IRS, CPAs, business attorneys, and registered agents. * Understanding of business tax registration, payroll accounts, licenses, insurance, contracts, and compliance requirements. * Strong organizational and project-management skills. * Ability to clearly explain each step, cost, deadline, and document requirement. * Experience with healthcare, medical billing, credentialing, or healthcare consulting companies is strongly preferred. Professional Licensing Candidates should clearly state whether they are: * A licensed business or corporate attorney. * A CPA or enrolled agent. * A business compliance consultant or filing specialist. * A project manager who will coordinate licensed legal and tax professionals. The selected professional must not provide legal or tax advice outside the scope of their professional licensing. Deliverables The final project should include: * Written recommendation for the best relocation structure. * Comparison of available relocation options. * Completed Ohio and Florida filings. * IRS and state tax account updates. * Updated licenses, registrations, addresses, and registered-agent information. * Compliance review for contracts, insurance, payroll, healthcare operations, and business accounts. * Master checklist showing all completed and outstanding items. * Copies of all applications, confirmations, certificates, and government correspondence. * Final compliance summary confirming the company’s standing in Ohio and Florida. Project Goal The goal is to complete the company’s move or expansion from Ohio to Florida without interrupting business operations, creating unnecessary tax or legal problems, losing the company’s history, or missing any required registrations or compliance updates. Applicants should provide a summary of similar projects completed, professional licenses held, estimated project cost, expected turnaround time, and a description of which responsibilities they will handle directly versus coordinate with another professional.
