South Korean IP Transfer Agreement – Drafting & Legal Review

Project Overview We are in the process of selling intellectual property (IP) to a South Korean company and require an experienced South Korean commercial/IP lawyer to draft a legally binding IP Transfer Agreement. The agreement must be enforceable under South Korean law and protect our interests throughout the transaction. Scope of Work The agreement should include, but not be limited to: Drafting a comprehensive IP Transfer Agreement. Ensuring the agreement complies with South Korean law. Clearly defining all transaction milestones, obligations, and completion requirements. Including specific dates and deadlines for each stage of the transaction. Defining the conditions precedent that must be satisfied before ownership transfers. Including payment obligations and any other commercial terms. Ensuring the agreement is suitable for execution by both parties. Key Requirement A critical requirement is a reversion clause stating that if the buyer fails to meet any agreed milestones, payment obligations, conditions, or contractual deadlines, the IP transfer is automatically revoked (or may be terminated by us), and all ownership and intellectual property rights immediately revert back to our company without further obligation. We are looking for the strongest legally enforceable mechanism available under South Korean law to protect our ownership of the IP until all contractual obligations have been fully satisfied. Ideal Candidate Qualified lawyer with experience in South Korean commercial and contract law. Strong background in intellectual property transactions. Experience drafting IP assignment, licensing, or technology transfer agreements. Excellent English communication skills. Able to provide practical legal recommendations to strengthen our position.
