A highly experienced and entrepreneurial lawyer, I work primarily with business owners and founders in connection with mergers and acquisitions, securities law and contracts. I graduated magna cum laude from the University of Pennsylvania, finished in the top 7% of my law school class, where I graduated with honors and was selected as a Managing Editor of the Law Review, worked as a law clerk for a federal judge where I drafted opinions for the judge's review and briefed the judge on applicable law, and I was trained at Ballard Spahr and Morgan Lewis, two of the largest law firms in the United States. I also acquired, built and sold dozens of businesses, exposing me to corporate and securities law from a real world, entrepreneurial perspective. I did most of the contractual, M&A, tax planning, employment law and other legal work myself for my own companies because I love practicing law. I thoroughly enjoy working with business owners and their management teams to craft efficient and creative solutions to legal challenges. That's why I returned to the full-time practice of law after building and selling a number of successful businesses. I’m now seeking creative ways to build a practice that fits into my lifestyle, and that requires primarily working remotely. Upwork is an ideal platform for me to connect with innovative business owners, corporations and law firms seeking top-notch legal work that leverages technology to meet both my objectives and and my clients' goals as well. I have substantial experience with mergers and acquisitions, tax planning (I also have an LL.M. in Taxation from NYU), employment law, corporate formation and governance. I've helped many clients comply with securities law issues in connection with raising capital through private placements and crowdfunding transactions. NEED HELP WITH A BUSINESS LAW CHALLENGE? I'm an electronics engineer who developed an interest in patent law while working for GE Aerospace as a Sr. Systems Engineer. Eventually I made the leap to law school at SUNY Buffalo where I interned with SUNY Research Foundation as a patent agent. After graduating and passing the NY and USPTO bar exams, I returned to GE to work at its Global Research and Development Center as in-house Patent Counsel. That started my second career, leading to amazing opportunities to practice diverse areas of patent law. For example, I've prepared and successfully prosecuted hundreds of patent applications from the inventor side and examined over 1000 patent applications as a USPTO patent examiner in electrical engineering, computer architecture and software-implemented technologies. As an intern at the Patent Trial and Appeals Board (PTAB), I weighed the merits of examiner and applicant appeal arguments and drafted appeal decisions. I've evaluated potentially infringing products for patent owners and guided engineers to avoid infringement by designing around issued patent claims. I've successfully prosecuted re-examinations leading to cancelation of claims in issued patents. In general, I enjoy combining engineering and patent law to help clients achieve a wide range of goals. I focus exclusively on utility (functional) patents and patent law.Intellectual Property Law

I help clients navigate complex technology transactions, startup corporate matters, fundraising, licensing, and outsourcing. I have over 14 years of experience as a corporate and commercial lawyer, with a focus on the technology sector and a passion for innovation and entrepreneurship. I leverage my skills in corporate law, intellectual property, legal writing, and executive coaching to deliver strategic, practical, and tailored solutions for my clients. Whether it is forming a new company, settling a business dispute, assisting in fundraising, converting an LLC to a C Corp, licensing a patent or software, or outsourcing a business process, I work collaboratively with my clients to understand their business goals, protect their interests, and create value. I also draw on my previous in-house experience as an assistant general counsel at a large healthcare diagnostics company, where I managed contracts and IP portfolio, to offer a unique business and strategy perspective to my practice.Intellectual Property Law
