I write and create content for a variety of clients in a number of different contexts. In fact, there is very little business, legal, or creative writing I do not do, and do well. When I am on the job, assignments are completed with faultless professionalism. Deadlines are always met, communication is regular and detailed, and my fees are fair for the quality of work I provide. I am professionally cordial in demeanor and easy to work with. If I may, let me outline my background, then turn to specific areas of expertise. Practicing law, writing/creating/presenting content, leading teams, hiring, on-boarding, and managing day-to-day employer-employee/union relations defined the lion's share of the work I did when employed full-time. As a freelancer, I have a litigation attorney's training and experience organizing, summarizing, and presenting, both in writing and orally, complex and often contradictory information. I am expertly transform specialized information requiring technical knowledge into plain, east-to-understand English without distortion or over-simplification. An exceedingly quick study, under pressure for high stakes is an environment with which I have years of experience and in which I thrive. I am a published, award-winning, short fiction writer. Everything I write is invariably creative, drawing the reader in and keeping her engaged as the story moves along. (All writing should tell a story, even the most technical). I copyedit/prepare for publication autobiographies, biographies, non-fiction, business, and self-help manuscripts. Having written a novel myself, I am also available to ghostwrite just about anything (although I might not be the best choice to ghostwrite your romance novel). I have mastered MS Office (primarily, Word and PowerPoint, but Excel, as well) and all the Google Workspace apps. If you prefer, I am also more than familiar with the LibreOffice and FreeOffice suites of apps. Drafting, reviewing, and consulting with respect to contracts or legal correspondence you may have received (a claim against you or the dreaded “lawyer’s letter”) are areas where I am particularly well-suited to provide professional services. With respect specifically to contracts, if you require someone who understands all the implications, including the boilerplate clauses, of a contract you or your company is being asked to sign, or to review/redraft an existing contract template, I provide top-level service. If you find yourself in the midst of a dispute concerning the language of a contract to which you are already party, or if you wish to end a contract with minimal liability, I am available to give advice. Please note, however, that should the circumstances call for it, I will encourage you to formally retain counsel in your jurisdiction. My skills and experience permit me to comprehend the law in all English-speaking jurisdictions and to conduct legal research as required. I have an extraordinary eye for detail. Relentless describes my approach to asking questions about the context of a document I am drafting or reviewing. To ensure that my client's interests are fully protected and advanced, my goal is always to ensure that I do not fall into the “I didn’t know what I didn’t know” trap. US immigration law is an area in which I have specific and wide-ranging experience. I routinely draft briefs, letters of support, petitioner's statements, and related correspondence to the USCIS in support of the clients of the law firms for which I freelance. My skills as a general business, marketing, and SEO content writer (articles, blogs, FAQs) are also at the highest possible level. I write effectively in almost any context a company might require. When I practiced law, I crafted all of my firm’s important legal opinion letters because my writing was always easy to understand and persuasive. As mentioned above - it bears repeating - retooling technically specialized or complex material so that it is accessible to a wide audience is one of my notable strengths. I have specific experience writing business plans and related PowerPoint presentations. I am seeking general business and creative writing assignments and writing assignments related to legal matters, including contract drafting/reviewing/negotiating.Legal Writing

I have over 30 years of experience as a corporate paralegal from the top firms in Chicago, and specialize in two areas: (1) Contract management and negotiation, including contract analysis, drafting of MSAs, employment contracts, construction contracts, negotiating on key terms, preparing addendums, and managing document execution; and (2) corporate entity formations in all 50 states, including LLCs, C-Corps, and S-Corps, and all compliance requirements such as drafting operating agreements, resolutions, bylaws, etc. A study has found that "for 42% of enterprises, the top driver for improvements in the management of contracts is the pressure to better assess and mitigate risks" and additionally, "nearly 65% of enterprises report that contract lifecycle management (CLM) has limited its exposure to financial and legal risk." I assist my clients with setting non-negotiable contract clauses and parameters for negotiations on additional terms. It's a difficult process to arrive at the decision to pass on a project due to contract constraints, but most companies have had the bad experience of signing a poorly written contract and being on the losing end. My contract management experience spans many industries, including subcontracts in the construction industry, architecture field, manufacturing, SaaS, healthcare, influencer, service, and creative, which also includes AIA contracts. I have worked with general contractors, architects, subcontractors, manufacturers, and vendors, which parties are oftentimes opposing parties in a contract, so I am in tune with each party's concerns when entering a contract and am able to utilize my negotiation and communication skills to bring the parties together to agree on a mutually protective and beneficial contract. I have extensive experience in the following: Complex document prep/redlining/version control Complex financial documentation including IPO offering statements Contracts (including AIA contracts) RFPs/Proposals Bylaws/Articles of Incorporation I have keen interpersonal skills such as conflict resolution, communication, problem solving, and time management, which enables me to be an effective participant in any situation. I am a deft problem solver and will always find a solution to any problem a client is facing. Also, I have traveled extensively both internationally and domestically, which developed my cultural and political awareness and enables me to work more effectively with diverse groups. Teamwork, communication, integrity, and excellence comprise the foundation of my services. Teamwork is essential and I will assist you with any task that advances your strategic goals. I pride myself on fostering a collaborative environment that results in higher productivity and success for my clients. Communication is also essential and I will always keep you informed of the status of a project. I will never compromise my integrity and will always maintain the confidentiality of my clients and their business. Trust is essential between both parties and clear communication and teamwork maintains that trust. Following these three tenets guarantees excellence in both quality and service. My priority is your success! No task is too small or too complex, and I will provide efficient and effective assistance with any project you have. I have a varied background in legal matters, writing, real estate, construction and general business matters. Over the past decade I primarily worked in highly regulated industries such as cannabis, either as a consultant or minority partner. I was previously a big-firm attorney and went to one of the best law schools in the country, where I was an honors grad and a law clerk at the Tennessee Supreme Court. I also spent 1.5 years working as a case study associate at the Vanderbilt Institute for Public Policy Studies. I have expertise in real property title / zoning and corporate experience including development, leasing, water and mineral rights, corporate filings of every variety, and general contracts. I can handle complicated projects at a high level, and manage ongoing projects such as corporate or real estate filings with the appropriate attention to detail while also being fast. I can help non-US citizens set up companies in the US and in some cases act as a nominee director. I can help as a paralegal with high-level background support on any kind of litigation projects, be it one-offs or ongoing complex disputes. Any projects that require professional level writing are also in my wheelhouse. My undergraduate degree was in Writing and I was (i) an editor and writer for the University of Colorado - Denver newspaper, (ii) an articles editor of the Vanderbilt Law Review, and (iii) published law review author. In my professional career I have written articles with a legal focus and also white papers presented to local and state governments considering cannabis regulations and policies. I was the lead researcher and writer (on a volunteer basis) in a two-year effort successfully lobbying the State of Colorado to change its healthcare insurance "mandatory coverages" to include children with autism spectrum disorders. I have written pitch decks, marketing content and trade articles, process / SOP manuals, and complex regulatory applications that required up to 1,000 pages of content. I also have a technical construction background and have been the project manager on a number of cannabis industry development and building projects in multiple states, and have in the past decade been a licensed GC and ICC-certified commercial plans examiner. Attention small business owners - every corporation / LLC in the country must file the newly created and required Beneficial Ownership Information Reports (BOIR) with the Financial Crimes Enforcement Network (part of the U.S. Treasury Dept.) by early 2025 or face potentially significant financial penalties. It does not matter if it's a multi-million dollar company or if it's a single-member LLC with no income last year, every single corporate entity in every single U.S. state must file this document and disclose certain details about the business, including the "beneficial" owners and "controlling" owners. The date was original January 1 but temporarily postponed by a court injunction, likely to be late February or early March now. Contact me to help! On a personal note, I've been involved in various non-profits in my adult life and generally they skew towards issues involving underprivileged kids or disabled kids. I was the pro bono counsel, Vice-President then later President, of the Autism Society of Colorado. I have been a youth mentor with various programs including Big Brothers & Big Sisters and similar organizations.Legal Writing

I have filed over 500 US and international patent applications for my clients. I have prepared successful petitions, ex parte reexamination requests, and other communications with USPTO. I also assist with Amazon patent disputes. I am an inventor myself with close to 60 patents in my own name. I have started several businesses and successfully commercialized many technologies, including my own. All of that gives my clients high confidence in my services and a recognition that their patent needs are well attended to. I specialize in working with small businesses and individual inventors, mainly in medical devices as well as in other mechanical technologies. Innovation and inventions are my passion - I enjoy working with fellow inventors and developing the best IP strategy to impress investors and help with fundraising when needed. My name is Kathleen Phelps. I earned my JD from University of Baltimore School of Law. I appreciate that your time is valuable, so here are responses to your anticipated FAQs in a nutshell: * Admitted to Maryland bar 30+ years * Spent past 9 years working exclusively with transactional business contracts * Drafted, negotiated, & reviewed agreements including: independent contractor/consultant, NDA/confidentiality, professional services, product and equipment procurement - both sale and supply side, partnership, equity/revenue/profit sharing agreements as well as equipment loans and rentals, property leases, software licenses/subscriptions (I do not have expertise in federal government contracts) * Drafted website and app terms of use and data privacy terms * Advised clients on complex, multimillion dollar agreements and simple, small dollar value contracts giving the same high level of service to each * My client list includes Johns Hopkins Health System, Grainger Inc, and CareFirst BlueCross BlueShield of Maryland The subject matter of the contracts I've worked on ranges from procurement of janitorial services to the purchase of complex, expensive medical equipment. Such variety requires the ability to understand the client's business and the subject matter of the agreement quickly, a skill that I've demonstrated. Also, I'm attuned to the client's timeline and meet deadlines without prompting. My approach to working with any contract is simple: (1) identify and mitigate risks to my client, and (2) ensure that the desired business transaction is correctly drafted. I am confident that I can - and would be honored to - assist you with your business contract needs.Legal Writing

I have written legal articles for websites of law firms in the US (California, Florida, New York, and Connecticut) as well as for law firms in Australia (Brisbane, Queensland, Victoria, Melbourne and Western Australia). Topics included will and probate, DUI, DWI, drunk driving, sexual assault, domestic violence, child support, divorce, employment law, bankruptcy, notarial law and immigration. I have drafted contracts, service agreements and prepared deposition summaries. I have provided litigation support by drafting requests for production of documents, requests for stipulations and admissions, and requests for taking depositions. I have even assisted a defendant pro se in the preparation of questions to ask at a discovery deposition in an FTC enforcement case. I drafted guidance for the use of members of the British Association of Counsellors and Psychotherapists. I assisted in the writing of guidance in contract making, supervision, and diversity. I have recently self-published a book in the Philippines. I am writing a second book that I will also self-publish. I have ghost-written three ebooks for clients on Upwork on achieving financial independence, learning all about Windows 10, and how to get over a failed relationship. I am skilled in the use of the English language: I graduated from high school in the United States; I hold a bachelor's degree in law and in European Languages from the University of the Philippines. In my undergraduate years, I interned at a local political talk show on radio. I have been a member in good standing of the Philippine bar since 1995 and I handle litigation of labor, criminal and civil cases. I write petitions, position papers, complaints, memorandums of law and arguments, legal briefs and legal opinions. I lecture weekly on church history, the Scriptures and legal issues. I maintain an English-language blog: my posts are usually commentaries on legal issues as analyzed in the light of the Scriptures. I would like to explore other areas of legal practice and expand to other areas of legal writing on-line.Legal Writing
