ABOUT THE ROLE I am seeking an experienced Executive Assistant & Nonprofit Operations Coordinator to provide executive-level support to the Founder/CEO of a growing nonprofit organization and ministry leader. Youth Improvement Services was incorporated in December 2018. We are seeking funding for programs, capacity building and general operating support to serve more youth in our community. Our nonprofit offers temporary housing and support services to young adults in Florida and Mississippi. We do this mostly though direct cash transfers. See attached overview document. I am in a dispute with my board of directors involving a complaint process and proposed changes to my terms of engagement. I am seeking an attorney to review the relevant documents, advise me on my position, and represent my interests through negotiation toward a mutually agreed resolution, including a settlement agreement with a mutual NDA. **Scope of Work** 1. **Document review and legal assessment.** Review the organization's governing documents (bylaws, policies and procedures manual), proposed changes to my employment or service agreement, and a written factual summary I will provide. Assess whether the board's complaint process followed proper procedure under the organization's own rules and Colorado nonprofit governance standards, and evaluate the proposed contractual terms for legality and reasonableness. 2. **Legal advice.** Based on that review, advise me on the strength of my position and realistic options for resolution. 3. **Negotiation and settlement.** Represent my interests in negotiation with the organization toward a settlement agreement.
