Overview We are a land development company that entered an annual enterprise subscription with a specialized land intelligence SaaS platform. The platform markets itself as providing parcel-level ownership data, power and utility infrastructure mapping, fiber and gas pipeline layers, competitive transaction tracking, moratorium monitoring, and AI-assisted site qualification for data center developers. After signing, several core features that were material to our purchase decision were never delivered or enabled on our account. After months of attempting to resolve the matter directly with the platform, we have determined that the service has not met its contractual and marketed obligations. We are seeking to cancel the agreement and avoid liability for the outstanding unpaid invoices on the basis of material non-delivery. We need an attorney experienced in SaaS/technology services contracts to advise us on how to execute this cleanly and defensibly. The Dispute We entered the subscription in approximately March 2026. From the outset, the following features were either unavailable, non-functional, or not enabled on our account: An AI-powered site qualification agent the platform markets prominently as a core capability Enhanced electric transmission and distribution data layers Natural gas and fiber pipeline data layers (central to our use case) CSV data export functionality (gaps that materially impaired our ability to use the platform) We raised these issues repeatedly. Invoices accumulated and went unpaid across approximately three to four billing cycles while the dispute was pending. The platform's account management team eventually escalated to their COO, and we engaged in a series of email exchanges attempting to negotiate a resolution. Despite months of back-and-forth, the platform has not delivered the contracted features. We do not wish to continue the relationship. Our position is that the failure to deliver material, marketed capabilities from the contract start date constitutes a breach that relieves us of further payment obligations and entitles us to cancel without penalty. Current Status The platform's COO has proposed a resolution that would amend the contract start date, add the missing features going forward, and require us to shift to auto-draft ACH payments. We have not signed or agreed to any amendment. No amended agreement has been executed. We do not intend to accept the proposed amendment. Our goal is cancellation, not continuation. What We Need Assess our grounds for cancellation — Review the facts of the dispute and advise on whether the platform's failure to deliver the marketed and contracted features constitutes a material breach sufficient to support cancellation and non-payment of the outstanding invoices. We will provide the original subscription agreement, marketing materials, and the full email thread documenting the non-delivery and resolution attempts. Draft or advise on a cancellation notice — Help us communicate our intent to cancel in a way that is legally defensible, clearly documents the basis (material non-delivery), and does not inadvertently waive any rights or create new exposure. Advise on invoice exposure — We have approximately accumulated unpaid invoices and additonal 20 months of term on the agreement. We want to understand our realistic exposure and what arguments support withholding payment given the non-delivery. Flag any risks in the email record — We engaged in email negotiations with the platform's COO in good faith, including language indicating some terms were "acceptable." We want to confirm whether anything in that email record could be used against us as an agreement or partial acceptance before we formalize the cancellation. Identify applicable law — The platform is based in Arkansas and we are in New Jersey.
