Small Business M&A Advisor Title: Small Business M&A Advisor Location: Remote Company: DealOrb.ai About DealOrb.ai: DealOrb.ai is the leading platform helping acquisition entrepreneurs find, finance, and close great small business acquisitions. We reach over 60,000 subscribers with curated deal flow, creative financing strategies, and hands-on guidance. In the past year alone, our members have closed over $180M in acquisitions. We’re a fast-moving, customer-obsessed team looking for a sharp, experienced M&A professional to help our buyers succeed. Job Summary: We’re seeking a highly motivated and detail-oriented M&A Advisor to join our business acquisition program, DealOrb Private Search. You’ll be a strategic guide, a financial analyst, and a trusted partner to acquisition entrepreneurs navigating every stage of the process—from sourcing and diligence to negotiations and close. You’ll lead 1-on-1 and group conversations, offer deep financial insight, and help us continuously improve the quality and consistency of our advisory systems and templates. Key Responsibilities: Client Lifecycle Management 1 - Support the client lifecycle across the full deal process: search and sourcing, due diligence, financial analysis, financing, negotiation, and post-acquisition planning. 2 - Serve as the primary point of contact for clients, addressing their needs promptly and proactively. 3 - Conduct onboarding calls, respond to 1-on-1 messages, and lead regular client check-ins. 4 - Maintain calendar availability typically 48–96 hours out (sooner when possible), in line with client availability. 5 - Document the client lifecycle to identify gaps and propose improvements. 6 - Create and track metrics to evaluate buyer success and inform program development. Search Criteria Development Help clients define and refine their acquisition criteria based on their financial goals, strengths, and market insights. Deal Sourcing Oversight 1 - Act as a second set of eyes on deals sourced by our internal team, ensuring alignment with each buyer’s criteria. 2 - Collaborate with the sourcing team to maintain a steady pipeline of quality off-market deals. Due Diligence 1 - Guide clients through financial, operational, and legal due diligence of target businesses. 2 - Analyze business models, P&Ls, and risk areas to inform client decision-making. Financial Analysis 1 - Conduct SDE and EBITDA normalization and identify red flags in financials. 2 - Provide financial modeling support to evaluate deal economics and sensitivity to different capital structures. Financing Coordination 1 - Advise clients on capital stack composition and structure, including SBA 7(a), seller financing, and outside equity. 2 - Help buyers understand SBA eligibility and connect them with appropriate lenders when needed. Negotiation Support 1 - Act as a sounding board as buyers structure offers and negotiate LOIs. 2 - Provide feedback on deal terms, earnouts, holdbacks, and risk mitigation strategies. Post-Acquisition Integration 1 - Help buyers create 30/60/90-day post-close plans to ensure successful ownership transitions. 2 - Offer best practices for employee retention, customer communication, and operational continuity. 3 - Encourage learning before change: help clients observe and listen before implementing major operational shifts. Group Coaching & Webinars 1 - Host recurring group office hours, webinars, and coaching calls to address common deal issues and accelerate collective learning. 2 - Answer ad hoc questions from active buyers and participate actively in the community Slack. Knowledge Base & Infrastructure 1 - Contribute to internal templates, diligence checklists, and our growing library of red flags, case studies, and tools. 2 - Identify and document repeatable insights that can help future clients. Required Qualifications: 1 - 5+ years of experience in small business M&A, buy-side advisory, transaction services, or related roles. 2 - Strong grasp of financial statements, quality of earnings, deal structuring, and valuation fundamentals. 3 - Deep familiarity with SBA loan processes and small business financing structures. 4 - Excellent communication skills with a high EQ; comfortable advising high-performing, first-time business buyers. 5 - Self-starter with a bias for action and problem-solving. 6 - Highly organized with strong follow-through and attention to detail. Preferred Qualifications: 1 - Previous experience brokering or acquiring small businesses. 2 - Background in Private Equity, investment banking, or transaction advisory. 3 - Experience as a founder, operator, or CEO is a major plus. Company Culture and Expectations: 1 - Must be willing to operate in a fast-paced startup environment, with minimal guidance. 2 - Must have a high do-to-say ratio. Meaning, earn the trust of your teammates by following through on the things you say you will without having to be reminded. 3 - Always over-delight clients. 4 - Always under-promise and overdeliver. 5 - Take the time to build fences when possible. Never get so busy chasing cows that you do not take the time to build a fence. As a fast-growing startup, backstops, systems, and processes have to be built and followed, or we will be overwhelmed with the day-to-day of chasing cows. Why Join DealOrb: 1 - Opportunity to be a key leader in a rapidly growing company. 2 - Collaborative and dynamic work environment. 3 - Chance to make a significant impact on the company's success and growth. 4 - Opportunity to create and develop new lines of business and grow with the organization.

Forum Intelligence: Project Brief & Initial Rollout 1. Executive Summary & Objective Forum Intelligence is a beginning as a localized data retrieval, processing, and archiving system designed to scrape public municipal records and state legislative data for public oversight. The immediate objective is to build a functional, highly resilient prototype focused on the Tri-Cities region (Burbank, Glendale, and Pasadena, California). The system will autonomously ingest messy, unstructured municipal data (City Council meeting minutes, agendas, public notices, and legislative PDF text, recorded mp4), clean it, and make it fully searchable and queryable via a localized AI agentic framework. 2. Phase 1 Scope: The Tri-Cities Rollout Th engineer will be responsible for building two primary pillars: A. Resilient Scraper Bots • Target Ingestion: Monitor and pull data from Burbank, Glendale, and Pasadena municipal portals and California legislative feeds. • Data Types: Brittle HTML sites, heavily nested tables, public notices, legislative drafts, and massive unstructured PDF archives. • Requirements: The scraping architecture must be exceptionally robust, utilizing intelligent error handling, retry semantics, and pagination tracking to handle frequent municipal website layout changes without breaking the pipeline. B. Ingestion & Vector Pipeline • Parsing: Extracting clean text from poorly formatted documents and scanned PDFs. • Local RAG (Retrieval-Augmented Generation): Chunking and embedding the data locally into a vector database (e.g., pgvector, Chroma, or Milvus) to enable semantically accurate entity linking and contextual search. 3. Targeted Hardware Stack To ensure maximum data security, strict public oversight integrity, and predictable operational costs, Forum Intelligence is skipping commercial cloud APIs in favor of an on-premise, localized NVIDIA enterprise deployment. The production roadmap aligns precisely with the new computing patterns detailed in NVIDIA’s latest hardware roadmap: • Inference & Token Generation: Running local open-weight frontier models (e.g., Neotron 3 Ultra or Claude/Llama equivalents) optimized for reasoning and long-context tool use. • Compute & Orchestration: The backend infrastructure is architected around NVIDIA’s dedicated agentic architecture, utilizing high-instructions-per-clock (IPC) Vera CPUs paired with Vera Rubin GPUs. • Memory & Storage Processing: Utilizing NVIDIA’s unified memory fabric and data processing units (DPUs) for ultra-low latency context management, KV caching, and fast vector database retrieval. 4. Immediate Milestones for the Engineer 1. Architecture Design: Map out the database schema and local inference ingestion loop. 2. Tri-Cities Scraper Deployment: Write and deploy the initial automated bots for Burbank, Glendale, and Pasadena. 3. Local MVP Pipeline: Demonstrate a local RAG pipeline where a user can query the Tri-Cities scraped records and receive grounded answers with exact source attributions. The above was AI generated from months long conversations with Gemini. The goal is to prove the concept then roll out to LA County, state of CA, and then the country.

We are seeking a dynamic Sales Manager to lead our sales team and drive growth in the healthcare digital marketing sector. The ideal candidate will have a strong background in sales and marketing, with a focus on developing and executing strategies to expand our client base. Responsibilities include managing sales teams, identifying new business opportunities, and collaborating with our marketing department to enhance our market presence. Build Something Bigger Than a Paycheck We're not looking for someone to "make calls." We're looking for a partner who wants to build a book of business that compounds month after month while helping medical practices transform how they acquire patients. ModFXMedia is the marketing engine behind some of the fastest-growing medical practices in the country. We don't do cookie-cutter marketing—we build custom lead generation systems, AI-powered patient acquisition tools, and revenue-driving campaigns for doctors who are serious about scaling. And we need someone who can close. The Opportunity You'll be joining at the perfect inflection point. We've cracked the code on medical practice marketing (TRT clinics, functional medicine, chiropractic, aesthetic medicine), our client results are exceptional, and demand is there. What we need is someone to turn conversations into contracts—consistently. This isn't a grind-it-out sales role. This is a growth partnership where: ✅ You're selling a service that genuinely transforms medical practices ✅ Your income grows exponentially as your book of business scales ✅ You're building relationships with practice owners, not chasing one-time deals ✅ You have autonomy, flexibility, and real upside The goal: 8+ new clients per month at $2,000-$3,000 MRR each. What You'll Actually Do Own the entire sales cycle - From discovery call to signed contract, you're the closer Consult, don't pitch - Understand practice goals, diagnose marketing gaps, prescribe solutions Build your book - Every client you close becomes part of your recurring commission base Partner with leadership - Work directly with our CMO to refine positioning, pricing, and packaging Scale proven offers - Monthly marketing plans, lead gen systems, AI automation, social media management, website development You're not selling vaporware. Our clients see real ROI. Your job is to get the right practices in the door. Who You Are ✔️ Experienced closer - 3+ years in B2B sales (agency, SaaS, or marketing services preferred) ✔️ Consultative seller - You diagnose before you prescribe. You ask better questions than your competition. ✔️ Self-starter - You don't need to be micromanaged. You know how to prospect, qualify, and close. ✔️ Healthcare curious - Bonus if you know the medical space, but not required. We'll teach you the niche. ✔️ Metrics-driven - You track pipeline, conversion rates, and know your numbers cold ✔️ Tech-savvy - Comfortable with CRMs (HubSpot/Salesforce), Zoom demos, and modern sales tools Most importantly: You want to build something. Not just hit quota—build a recurring revenue machine that pays you for years to come. The Compensation You'll earn a $2,500/month base salary plus 20% commission on the first month's revenue and 5% recurring commission on all active clients for as long as they stay. Hit quota at 8 deals/month and you're making $70K in Year 1. By Month 6, as your recurring commissions compound, you're tracking toward $130-150K. By Month 12, top performers are earning $180K-220K annually with a growing book of business that continues paying month after month. Performance bonuses of $2,500-$5,000 kick in at 10+ deals per month. This isn't capped—your income grows as your book grows. Close consistently, keep clients happy, and you're building a revenue stream. Why OUR Pay Structure Works: Aligned incentives - You care about client fit and success, not just closing Golden handcuffs - Your income compounds the longer you stay True partnership feel - You build equity-like income without equity dilution Rewards consistency - Month 1 closer makes $90K/year. Bottom line: Close deals, keep clients happy, build a book. This isn't a job—it's building a revenue stream that pays you for years to come. What You Get Fully Remote - Work from anywhere Warm Lead Flow - We provide inbound leads + you source outbound Full Tech Stack - CRM, proposal software, everything you need provided Proven Offers - You're selling services with case studies and proven ROI Training & Onboarding - Deep dive into medical marketing, our process, and the niche Fast Growth Company - We're scaling aggressively across multiple verticals Direct Access to Leadership - Work alongside our CMO who's scaled $7M telehealth companies 30-60-90 Day Plan First 30 Days: Learn the offers, shadow calls, close 2-3 deals (ramp period) 60 Days: Own the process, close 5-6 deals, refine your pitch 90 Days: Full quota - 8+ deals/month, building momentum We don't expect you to be perfect on day one. We expect you to be unstoppable by day 90. Why Medical Practices? The healthcare industry is massively underserved when it comes to marketing. Most practices are running on referrals and outdated strategies. When we show them modern lead generation, AI automation, and data-driven campaigns—they convert. You're not convincing people they need marketing. You're showing them a better way to do what they already know they need. Ready to Build? If you're the kind of person who: Gets excited about recurring revenue models Wants to be rewarded for the long-term value you create Thrives in a high-autonomy, high-accountability environment And knows how to close Then let's talk. How to Apply Send us: Your resume (keep it tight) A 2-minute Loom video answering: "Tell us about your biggest deal, how you closed it, and why you're the right person for this role" Your LinkedIn profile Subject line: "Growth Partner - [Your Name]" No agencies. Reddit Strategist & Community Manager — B2B SaaS Startup · Organic Growth Channel Remote · Contract, Ongoing · Est. Start: Immediately ABOUT US We are an early-stage B2B SaaS startup building LMS software for small to mid-sized professional organizations. We have a two sharp ICPs identified, a go-to-market strategy, and a fractional CMO leading execution. Reddit is one of our core organic acquisition channels and we need an expert to own it. WHAT WE'RE LOOKING FOR This role is about education and brand awareness, not promotion. We want to build credibility on Reddit the right way — by showing up genuinely and contributing real value to conversations our audience is already having. We need someone who understands how subreddit communities operate, knows what gets upvoted vs. flagged, and can represent our brand's perspective authentically without ever coming across as a shill. Subtlety and community fluency are the entire job. WHAT YOU'LL OWN • Weekly participation across target subreddits — answering questions, contributing insights, building positive brand reputation • Identifying threads where our product is genuinely relevant and engaging naturally — no forced mentions, no promotional language • Growing account karma and credibility over time so that when our product does come up organically, the account has standing in the community • Monthly reporting: subreddits monitored, threads engaged, organic product mentions, estimated traffic contribution, and qualitative observations about community sentiment and pain points • Flagging relevant conversations to the team — threads where our ICP is actively discussing problems we solve are valuable market intelligence, not just engagement opportunities • Adhering to subreddit rules, community norms, and representing the company positively in each community TARGET SUBREDDITS (Starting Point) We serve two distinct buyer audiences and need presence in communities where both congregate. Audience 1 — Small operators in regulated care and compliance verticals (I/DD, behavioral health, childcare, home care, social services) who are managing staff training and certification manually and need infrastructure: • r/humanservices — direct care and social services operators dealing with staffing, compliance, and training requirements • r/socialwork — practitioners and agency operators discussing operational realities of care delivery • r/childcare — childcare center owners and directors managing licensing requirements and staff certification • r/smallbusiness — broad but active; compliance operators frequently surface here when asking about training and documentation tools Audience 2 — Customer success and onboarding leaders at small-to-mid-sized SaaS companies who are delivering product training through a makeshift stack (Loom, Google Drive, Notion) and need a real platform: • r/CustomerSuccess — primary community for CS professionals discussing onboarding, churn, and tooling decisions • r/SaaS — founders and operators discussing scaling challenges, including customer education and onboarding at scale • r/startups — early-stage SaaS teams working through the same operational pain points our product solves We are open to your recommendations on additional subreddits based on your research and experience in either vertical. GUARDRAILS OF THIS ENGAGEMENT Please read carefully before applying: • Zero overt promotion. Our product is never mentioned unless a user directly and specifically asks for a recommendation that fits our exact use case. • Pure value contribution. Every comment and post must stand on its own as genuinely helpful to the community. • No throwaway accounts. You must have an existing, aged Reddit account with real karma in relevant communities. A new account will not work for this role — Reddit communities can spot a fresh account immediately. • No spammy tactics, no link drops, no posting the same comment across multiple threads. WHAT WE NEED FROM YOU • An existing Reddit account with strong karma in relevant communities • Deep understanding of how Reddit communities operate, including subreddit-specific culture and moderation norms • Strong writing skills — interactions to read like a knowledgeable peer, not a marketer • Ownership of the full Reddit strategy: developing the approach, identifying the right communities, and executing consistently • Reliable, ongoing presence — Reddit rewards consistency; sporadic participation won't build the standing this initiative requires • Experience using Reddit as an organic B2B acquisition channel is a strong plus BUDGET + SCOPE • Ongoing contract — this channel compounds over time and we are committed to it long-term • Estimated time: active weekly participation across 3–4 subreddits • Contractor fee: open to hourly or monthly retainer — tell us how you prefer to work • Meaningful traffic contribution expected to begin around month 2–3 as account standing builds TO APPLY Answer the 3 screening questions and include any relevant work or experience you'd like us to review. We'll select the top 5 candidates and reach out to schedule a 30-minute intro call. We are moving quickly and interviewing immediately.

I own a land clearing and forestry mulching business and already have a completed professional brand package with logos, colors, fonts, and brand guidelines. I am not looking for a new logo or full rebrand. I need an experienced apparel/print designer to take my existing brand files and create clean, professional, screen-print-ready shirt artwork and a simple printer reference guide. This is for contractor work shirts, hi-vis safety shirts, charcoal/navy shirts, and possibly hats later. Main goal: Create shirt artwork that is readable from a distance, properly sized, properly centered, and easy for a local screen printer to follow. I recently had shirts printed where the back design came out too small visually, too high, and not readable enough from about 10 feet away. Some shirts also appeared off-center. I want to avoid that happening again. The print quality itself was usable, but the layout did not function well as a professional shirt-back design. It looked more like a small upper-back strip instead of a strong branded work shirt. Deliverables needed: 1. Left chest logo layout for shirts 2. Strong back shirt layout 3. Hi-vis yellow/green shirt version 4. Hi-vis orange shirt version 5. Dark shirt version for navy/charcoal 6. Simple printer reference guide showing: - front logo placement - back logo placement - approximate print width/height - distance from collar/top of shirt - centering instructions - which file to use for each shirt color 7. Final files in AI, PDF, PNG, and any other print-ready format recommended Possible back shirt wording: Property Line Land Services Forestry Mulching & Land Clearing propertylineland.com The tagline “Built on Trust. Cleared with Purpose.” can still be considered, but for work shirts I think the service line needs to be the main focus so people immediately understand what the business does. Design direction: I am open to the designer’s recommendation on whether the back should use: - stacked layout - badge-first layout - service-first layout - modified horizontal layout - another format that works better for apparel The current horizontal logo looks good in other uses, but on the back of a shirt it became too long and shallow. I want the back design to have more visual impact and better readability. Important requirements: - Do not redesign the whole brand. - Use the existing logo, colors, and brand style. - Must understand screen printing and apparel placement. - Must provide files a local printer can use without guessing. - Must be able to create a simple placement/reference guide. - Must care about readability and professional brand presentation. - Bonus if you understand hat embroidery or hat logo preparation. Please include examples of previous apparel, workwear, contractor shirts, screen print layouts, or brand merchandise you have created.

About us Fencelite Media is a done-for-you Facebook lead generation agency. We build and run Meta ad campaigns for fence contractors across the US and Canada. Our job is simple to say and hard to do well: put qualified homeowner leads into our clients' pipelines at a target cost per lead, every single month. We are looking for a media buyer who can own client ad accounts end to end with very little hand-holding, and who can stand in front of a client and explain the numbers with confidence. The role You own client ad accounts from buildout through ongoing management — both the media buying and the account relationship. You launch the campaigns, you manage them, you own the results, and you own the client. CPL is the metric that matters most, and your job is to hit each client's target CPL over rolling 30-day sprints while keeping clients confident and in the loop. You are also expected to lead, not just execute. We want a buyer who brings new strategies to the table, tests new creative formats, and pushes our accounts forward instead of running the same playbook on autopilot. This is not a junior seat. You should be comfortable opening an account on day one, reading the data, and knowing your next move without being told what it is. What you'll do Build out and launch Meta lead gen campaigns using our account structure (1 campaign, 1 ad set, multiple ads) Manage those campaigns daily and own each client's target CPL on rolling 30-day windows Own the client relationship end to end: serve as the primary point of contact, manage expectations, and keep accounts healthy and retained Run our testing methodology: judge variables only after a minimum impression threshold, trim anything running above blended CPL, and scale what works Diagnose performance issues correctly (knowing the difference between a creative problem and a form or landing page problem) and act on them fast Bring new strategies and test new creative formats. We want fresh thinking, not just maintenance Scale winning campaigns the right way without breaking what is already working Deliver clear reports, explain the reasoning behind your decisions, and keep clients in the loop on performance and next steps Who you are 3+ years buying Meta ads, with real experience in local lead generation (home services is a big plus: fencing, roofing, landscaping, HVAC, decks, concrete, and similar) You think in CPL, link CTR, link CPC, and CPM, and you know which one to act on and when You can run accounts solo and make confident calls on what to kill, keep, and scale You understand lead gen campaigns and lead forms, not just ecommerce or traffic objectives You can manage clients directly. You explain results in plain language and never hide a bad week or month. A strategic thinker who proactively brings ideas, not someone who waits for instructions Reliable and organized enough to manage a large book of accounts at once (we run 30+ live accounts) without dropping the ball Bonus points -Experience with GoHighLevel -Experience writing or directing ad creative and copy -Direct experience in the home services or contractor space Why this seat You inherit real infrastructure: built-out SOPs, systems, and processes so you spend your time making decisions, not reinventing workflow Room to be creative. The systems give you a floor, not a ceiling. We want your fresh thinking on creative and strategy We're signing 1 to 2 new clients a week with no shortage of work, and we promote from within. This is a role you grow inside of, not one you age out of How we work Fully remote, ongoing 1099 contract You run everything through Slack and Ads Manager. Simple stack, no tool sprawl You set your own hours and manage your own workflow. That said, accounts need daily attention and clients need timely responses during US/Canada business hours, so meaningful daytime overlap with client timezones is expected You'd be onboarded gradually onto our existing book of 30+ live accounts. We hand them off at a pace that sets you up to win, not all at once on day one Expect 1 to 2 new clients and campaign buildouts every week This is a full workload, not a side project. We're looking for someone who can commit the hours a 30+ account book demands Location Remote, but domestic only. We are hiring contractors based in the US or Canada. Compensation $4,000 to $6,000 per month depending on experience, paid as a 1099 contractor. How to apply Send us two things: 1) Your resume. 2) A short Loom (3 to 5 minutes). In it: a 45-second intro on what you're running now (number of accounts, verticals, monthly spend), then walk us through how you'd handle this scenario — a client's blended CPL is sitting at $48 against a $35 target over the last 30 days, with a healthy 1.4% link CTR and low link CPC. What's happening, and what's your next move? Then tell us one creative format or strategy you've run that worked, and why. Applications without a Loom will not be reviewed.

We are looking for an expert backend developer and automation engineer to extend an existing, production-grade Model Context Protocol (MCP) server and overhaul its orchestration layer. The headline correction for this project: the existing Lawfather MCP is to be retained and extended, not rebuilt. It already exposes deterministic, parameterized Playwright tools for every required county portal (District Clerk, HCSO, HCDAO) and a client database. Those backend tools are the reliable layer and are not the source of the instability this project exists to fix. The instability lives entirely in the orchestration layer — the model-driven layer that decides when and how to call the tools. The fix is to move deterministic control out of model-followed prose and into code, and to host the agent on an always-on machine with persistent memory. Core Project Principles • Extend, Don't Rebuild: Retain and extend the existing MCP; do not re-implement portal scrapers from scratch. • Code Over Prompts: Deterministic logic lives strictly in tool code, never in instructions the model must remember each session. • No Caller Loops: Batch operations must run to completion server-side. No operation may require the caller (model) to loop. • Agnostic Architecture: The system must remain model-agnostic and host-agnostic. No single provider — Anthropic, OpenAI, Z.ai/GLM, or Nous — may be a hard dependency. • Privilege First: Client data stays on owned hardware; the model is never the gatekeeper of which case a file belongs to. Existing Tool Inventory (To Be Inherited As-Is) The following tools already exist on the production MCP (containerized on a local Synology NAS) and are in daily use. Re-deriving their behavior is completely out of scope: • hcdc_get_docket: Court settings by date range + bar number (District Clerk). • hcdc_check_filings: Per case: standard defense filings present vs. missing. • hcdc_download_filings: Images-tab documents: bulk OR selective by filters; dest_subfolder; dry_run. Note: The parameterized download tools already cover most retrieval requests. "All filings," "this filing," "all subpoenas," "all resets," and "everything filed that day" are argument combinations on this tool, not separate features. • hcso_locate: Defendant custody location (facility / floor / pod) by SPN. • hcdao_grab_file: Download a single named file from the DA portal Files tab. • hcdao_download_discovery: Batch / delta discovery download from the DA portal. • hcdao_download_media_alert: Batch-download files listed in a 'New Media Available' portal email. • hcdao_case_summary: Scrape the Case Jacket quick summary / DAO narrative. • hcdao_plea_offer: Scrape current plea offer + full offer history. • hcdao_assigned_ada: Assigned ADA name / email / phone on a case. • lookup_client / list_clients: Resolve / list clients from the shared client database. Scoped Work (Paid Deliverables) 1. County Case Resolver (New Tool): Find a case from partial identifiers — any subset of (name, SPN, DOB, court, cause). Searches county systems (not just the local client DB). MUST return a ranked candidate list for the user to choose from; MUST NEVER auto-select. Wrong-defendant selection is a privilege failure, not a cosmetic bug. 2. Latest-Version Retrieval: Add scope=latest to hcdao_grab_file so 'most recent' selects the newest among supplements instead of the first match. 3. Async Transcribe Tool (Skill to Tool Promotion): Build a deterministic MCP tool using Gemini 3.1 Pro Preview for transcription, followed by a second pass that sends the transcript back with case context for cleanup (speaker mapping, defense-moment preamble). Long-running: implement as an async job (submit to job id to poll to fetch), NOT a synchronous call. 4. OCR Tool (Skill to Tool Promotion): Implement a readability check on ingest. If a document is not cleanly readable, FLAG it and ASK before sending to Gemini 3.1 Pro Preview for OCR. OCR must be gated and confirmed, never automatic. 5. Server-Side Batch Jobs: Move all chunk, loop, delta, and throttle logic OFF the caller and INTO the tool code. One call runs the batch to completion. 6. Queued HCDAO Fixes: For hcdao_download_discovery, add a portal_ids filter for targeted single-file pulls and a custom output-path / Drive-folder destination feature. Known Portal Quirks to Handle from Day One • hcdc_get_docket returns a broader date range than requested; results must be filtered to the requested window. • hcdao_download_discovery delta detection is blind to files organized into dated subfolders and must be explicitly handled. • Court DG7 does not surface through standard bar-number docket lookup and requires separate handling. • The Playwright Node.js driver subprocess can die silently while database tools respond; you must health-check the driver proactively. Orchestration, Host Layer, & Deployment Topology • Target Host: Hermes Agent (Nous Research) running as the persistent shell, providing persistent memory, the scheduler, and messaging surfaces. The MCP server will plug directly into it. • Agnostic LLM Routing: Default the agent/dispatch role to the most reliable tool-calling model (currently Claude Opus). Route bulk, non-critical generations (draft summaries, transcript cleanup) to a cheaper model (e.g., GLM-5.2). No provider may be hard-wired. Per-tool pins are allowed strictly for transcription/OCR tasks (pinned to Gemini 3.1 Pro Preview). • Memory Fencing: Hermes's persistent memory and learning loops must remain enabled to accumulate facts and user preferences. However, the agent must be strictly fenced from self-editing or rewriting its own mechanical execution paths (portals, downloads, filings), which must remain frozen in MCP tool code. • Hardware Deployment Infrastructure: • Always-on Brain: M1 Pro MacBook Pro (16 GB, mains-powered, lid open) running the Hermes gateway, Messages.app, and a BlueBubbles iMessage bridge. Must be fully automated via launchd services to handle headless crash recovery, auto-login, and sleep prevention (pmset autorestart / caffeinate). • Tools and Storage: Synology NAS (10.0.0.149) hosting the Lawfather MCP container, local client folders, and Drive sync. • Private Network: Tailscale mesh across all devices for secure remote access without open inbound ports. Acceptance Criteria for Sign-Off • No batch operation requires the caller to iterate. • The case resolver returns ranked candidates and never auto-selects. • Transcription runs seamlessly as an async two-stage job surviving multi-hour files without timing out. • OCR never fires automatically on low-readability files without gated confirmation. • Zero regressions on the existing MCP tool inventory. • The Resiliency Test: The full stack successfully restarts completely unattended after a host reboot or simulated power loss, and is reachable via iMessage/SMS immediately after. • Self-editing is fenced on mechanical download/filing paths. Hard Guardrails • Privilege: Downloads route strictly to the correct client folder; a wrong-case match is treated as a severe defect, not a warning. Privileged audio/discovery data stays on owned hardware where the chosen model allows. • Determinism: Repeatable steps live entirely in tool code, never in prompts. • Agnosticism: Model and host layers must remain fully swappable without modifying the core MCP tools. Before quoting "done," you will be expected to confirm live portal behaviors regarding District Clerk document labels, DA portal stable identifiers, and county search surfaces. How to Apply Please submit a proposal detailing your specific experience with MCP architectures, Playwright browser automation, and macOS/Docker DevOps automation. Anti-Bot Filtering: To prove you read this entire scope, please start your application with the phrase "PROTECT THE LAW" in all caps. Automated or generic copy-paste applications will be instantly rejected.
