You will get Audit on Your Crypto Whitepaper & Tokenomics for SEC Compliance Risks

Project details
Don't let a legal oversight kill your project before Mainnet.
You have the Solidity developers and the marketing team, but do you have the Legal Engineering?
Most crypto founders build their tokenomics (burns, buybacks, staking rewards) without realizing they are accidentally creating an Unregistered Security under US Law. I am a US based Attorney and active DeFi investor who bridges the gap between code and compliance.
I do not write Solidity code. Instead, I audit the Legal Logic of your project to ensure your "Utility Token" doesn't fail the Howey Test.
What I check for:
The "Dividend" Trap: Does your staking mechanism look like passive income?
The "Buyback" Risk: Is your treasury management creating price manipulation liability?
The "Governance" Wrapper: Are you using a DAO to hide centralized control?
Consumer Protection: Do your Terms of Service actually protect the dev team?
Deliverables: Depending on the tier you select, you will receive a formal Legal Risk Assessment Memo, a redlined markup of your Whitepaper, or a full suite of "Mainnet Ready" legal documents (Terms of Service & Risk Disclaimers).

I don’t just "bill hours." I deploy advanced legal technology and automated document engines to eliminate corporate friction points with extreme efficiency. Whether you need an SEC Reg D placement framework, a federal trademark defense strategy, or a robust, enterprise-grade SaaS agreement blueprint, I deliver high-utility frameworks at tech speed.
Why My Perspective is Different
Accredited Investor & Entrepreneur: I successfully exited a multi-channel e-commerce business in 2023 and actively trade options/equities. I understand deal terms as financial levers, not just legal clauses.
AI & Document Automation Specialist: I design and deploy structured document assembly platforms to move twice as fast as traditional counsel. If you are an AI-driven company, I speak your language and understand your specific liability hurdles.
Core Engagement Tracks & Jurisdictional Boundaries
TRACK 1: Full-Service Legal Representation (Direct Practice: IA, MO, NE & Federal Only)
Formal legal representation, custom drafting, and advisory counsel. Restricted to federal matters or local state law in IA, MO, and NE.
Federal Securities Practice (National): Regulation D private placements (Rule 506b/c), Subscription Agreements, Form D filings, and strategic SEC deregistration ("Going Dark" via Form 15).
Federal Intellectual Property (National): USPTO trademark filings, complex Office Action responses, and brand protection/counterfeit enforcement for Amazon/D2C platforms.
Federal Immigration Practice (National): O-1A and NIW Extraordinary Ability visa briefs.
Regional General Counsel (IA, MO, NE): Custom state-level corporate structuring, localized contract drafting, and litigation management.
TRACK 2: Legal Tech Architecture & SaaS System Delivery (Available Worldwide)
For founders operating outside my licensed jurisdictions (IA, MO, NE) who require automated document infrastructure. This track does not establish an attorney-client relationship, and I do not provide custom legal drafting or localized legal opinions. Instead, I license and configure automated, self-service software toolkits and document engines:
SaaS Document Automation Setup: Deploying automated, algorithmic document trees utilizing the Draft Architect platform. Users input their technical specifications to self-generate standard, multi-jurisdictional SaaS terms, liability caps, and acceptable use frameworks.
Privacy Policy Engine Deployment: Structuring automated, logic-based privacy blueprints designed to ingest user data-handling parameters and generate templates covering major data frameworks (CCPA/CPRA, VCDPA, CPA).
Venture Finance Templates: Implementing standardized, algorithmic NVCA and Y Combinator SAFE/Convertible Note document builders to prepare your operations for seed rounds.
⚠️ MANDATORY COMPLIANCE DISCLOSUREI am actively licensed to practice law in Iowa, Missouri, and Nebraska. For clients located outside these jurisdictions, my direct attorney-client legal representation is strictly limited to matters governed exclusively by U.S. Federal Law.
For out-of-state business operations, SaaS terms, and privacy frameworks, services are delivered strictly as non-advisory legal tech consulting, software access licensing, and automated template delivery via Draft Architect. Document generation is driven entirely by the user's algorithmic data inputs. All out-of-state clients are explicitly advised to have locally licensed counsel conduct a final review of self-generated documents to ensure compliance with localized state statutes.
Steps for completing your project
After purchasing the project, send requirements so Stephen can start the project.
Delivery time starts when Stephen receives requirements from you.
Stephen works on your project following the steps below.
Revisions may occur after the delivery date.
Intake & Document Upload
Upload your Whitepaper, Tokenomics Spreadsheet, or link to your project website. If you are in the "Idea Phase" (Tier 1), a simple 1-page summary of your plan is sufficient. The clock starts once I receive these documents.
Legal Risk Analysis (The Audit)
I will review your materials against current US Federal Securities Laws and CFTC regulations. I analyze your distribution model, marketing language, and token utility to identify specific "Red Flag" triggers that could attract regulatory enforcement.
